Terms of Service
These Terms of Service ("Terms") are a binding agreement between Listinghost, LLC, a Texas limited liability company ("Listinghost," "Company," "we," "us," or "our"), and the person or entity registering for, accessing, or using the Services ("Customer," "you," or "your").
These Terms govern your access to and use of Listinghost's website, software, messaging tools, AI-assisted listing engagement tools, dashboards, QR code and listing-hosting features, support services, integrations, content, and all related products and services we make available (collectively, the "Services").
By clicking "I Agree," "Create Account," "Start Trial," "Subscribe," or a similar button, or by accessing or using the Services, you agree to these Terms. If you do not agree, do not access or use the Services.
If you are accepting these Terms on behalf of a brokerage, team, builder, developer, employer, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity and its Authorized Users.
1. Eligibility and Business Use
1.1 Eligibility
You may use the Services only if you are legally capable of entering into a binding contract and are not prohibited from using the Services under applicable law.
1.2 Business Use
The Services are intended for business and professional use, including by real estate professionals, brokerages, teams, builders, developers, and related organizations. The Services are not intended for consumer household use.
1.3 Authority and Compliance
You represent and warrant that you have all licenses, approvals, permissions, and authority necessary to use the Services in your business and to perform your obligations under these Terms.
2. Account Registration and Authorized Users
2.1 Registration Information
You agree to provide accurate, current, and complete registration and account information and to keep that information updated.
2.2 Account Security
You are responsible for safeguarding account credentials and for all activity under your account, whether or not authorized by you, except to the extent caused by Listinghost's failure to use reasonable security measures.
2.3 Authorized Users
You may permit your employees, contractors, agents, and representatives to access the Services on your behalf ("Authorized Users"). You are responsible for all acts and omissions of Authorized Users and for ensuring their compliance with these Terms.
2.4 Account Controls
You are responsible for configuring account settings, user permissions, integrations, exports, retention settings, and communication settings made available within the Services.
3. Services, Plans, Fees, and Payment
3.1 Nature of the Services
The Services may include tools to upload listing materials, create hosted listing experiences, generate QR codes and access points, capture and organize leads, facilitate and log buyer communications, manage AI-assisted responses, manage follow-up workflows, review analytics, and export lead and conversation data.
3.2 Plans and Orders
Access to the Services may be offered through free, trial, invite-only, monthly, annual, usage-based, or custom plans. Your specific plan, term, pricing, usage limits, and included features may be stated in an order form, subscription page, checkout flow, invoice, or other ordering document (each, an "Order Form").
3.3 Fees and Payment
You agree to pay all fees, charges, usage fees, overages, taxes, and other amounts specified in the applicable Order Form or billing page. Except as expressly stated otherwise in writing, all fees are non-cancelable and non-refundable.
If you provide a payment method, you authorize Listinghost and its payment processors to charge all amounts due under these Terms, including renewal charges, overages, and applicable taxes.
3.4 Auto-Renewal; Cancellation
Unless otherwise stated in an Order Form, each paid subscription renews automatically for successive renewal terms equal to the initial term unless either party gives notice of non-renewal at least thirty (30) days before the end of the then-current term. You authorize Listinghost to charge the applicable renewal fees using the payment method on file.
At the time of purchase and through the Services, Listinghost may present renewal terms, billing frequency, cancellation mechanics, and renewal timing in a clear and conspicuous manner. You are responsible for canceling through the permitted account, billing, or support channels before renewal if you do not wish to renew.
Listinghost may provide billing notices, renewal reminders, or cancellation instructions as a courtesy, but your failure to receive any courtesy notice does not affect your payment obligations except to the extent required by applicable law.
To the extent required by applicable law, Listinghost will provide any additional disclosures, consent flows, reminder notices, and cancellation mechanisms required for automatic renewal or continuous service offers.
3.5 Taxes
Fees do not include sales, use, excise, value-added, withholding, or similar taxes or governmental assessments, all of which are your responsibility other than taxes based on Listinghost's net income.
3.6 Suspension for Nonpayment
Listinghost may suspend access to some or all of the Services for overdue amounts after providing notice, unless immediate suspension is reasonably necessary to prevent fraud, abuse, or material financial risk.
3.7 Electronic Contracting; Electronic Notices
You agree that these Terms, any Order Form, invoices, disclosures, notices, and other communications may be provided electronically and that such electronic communications satisfy any legal requirement that they be in writing. You further agree that clicking a button, checking a box, using account credentials, or taking another electronic action to indicate assent constitutes your electronic signature and forms a binding agreement.
4. License and Use Restrictions
4.1 Limited License
Subject to these Terms and your payment of applicable fees, Listinghost grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Services for your internal business purposes.
4.2 Restrictions
You will not, and will not permit any third party to:
(a) copy, reproduce, modify, translate, or create derivative works of the Services except as expressly permitted by Listinghost in writing;
(b) reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, trade secrets, or underlying ideas, algorithms, models, or structure of the Services, except to the limited extent such restriction is prohibited by law;
(c) sell, resell, lease, rent, license, sublicense, distribute, or otherwise make the Services available to third parties except as expressly authorized in writing;
(d) use the Services to build, train, benchmark, test, or improve a competing product or service;
(e) bypass, disable, interfere with, or circumvent usage limits, security controls, authentication measures, or access restrictions;
(f) upload, transmit, or distribute malware, malicious code, harmful content, or unlawful material;
(g) use the Services in violation of any law, regulation, MLS rule, privacy requirement, advertising requirement, fair housing obligation, telecommunications requirement, or brokerage policy;
(h) use the Services to harass, discriminate against, deceive, or mislead any person; or
(i) use the Services in a way that could damage, disable, overburden, or impair the Services or other users' access.
4.3 Reservation of Rights
Except for the limited rights expressly granted in these Terms, Listinghost reserves all right, title, and interest in and to the Services.
5. Customer Content
5.1 Customer Content Defined
"Customer Content" means all data, listing materials, PDFs, text, images, disclosures, contact information, communications, prompts, instructions, and other content submitted, uploaded, imported, generated, transmitted, or made available by you or your Authorized Users through or in connection with the Services.
5.2 Ownership
As between the parties, you retain all right, title, and interest in and to your Customer Content.
5.3 License to Listinghost
You grant Listinghost a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, perform, modify as technically necessary, and otherwise use Customer Content solely to provide, maintain, secure, support, analyze, improve, and enforce the Services and these Terms, to comply with law, and to create de-identified and aggregated data.
5.4 Your Responsibility for Customer Content
You are solely responsible for the legality, accuracy, completeness, timeliness, quality, and appropriateness of all Customer Content, including listing details, disclosures, pricing, media, showing instructions, lead data, and communications sent through the Services.
5.5 Rights and Consents
You represent and warrant that you have obtained and will maintain all rights, licenses, permissions, notices, and consents necessary for Listinghost to process Customer Content and to provide the Services.
6. AI-Assisted Features and Output
6.1 AI Functionality
The Services may include artificial intelligence, machine learning, automation, and rules-based features that generate suggested responses, summaries, classifications, tags, insights, workflow recommendations, and other content or outputs ("Output").
6.2 Review Required
Output may be incomplete, inaccurate, outdated, biased, or inappropriate for a particular situation. You are solely responsible for reviewing, approving, editing, and determining whether Output is appropriate for your intended use before relying on it or communicating it to any third party.
6.3 No Professional Advice
The Services and any Output do not constitute legal, brokerage, compliance, tax, financing, appraisal, valuation, or other professional advice.
6.4 Source Dependence
Output quality depends in part on the accuracy, completeness, consistency, and timeliness of Customer Content and instructions you provide.
7. Messaging, Leads, and Communications Compliance
7.1 Messaging Features
The Services may include SMS or MMS messaging, QR-driven messaging, lead capture, conversation logging, templates, follow-up workflows, and related communications features (collectively, "Messaging Features").
7.2 Customer Controls Communications
As between the parties, you control and are solely responsible for the content, recipients, timing, purpose, frequency, legality, and business justification for communications sent or initiated using the Messaging Features.
7.3 Required Consents and Disclosures
You represent, warrant, and covenant that, before using any Messaging Features, you will obtain, maintain, and be able to produce all notices, disclosures, permissions, and consents required by applicable law, regulation, carrier requirement, MLS rule, brokerage policy, and industry guideline, including any consent required for marketing, advertising, telemarketing, autodialed calls, prerecorded calls, artificial-voice calls, or text messages.
7.4 Recordkeeping
You will maintain accurate records of consent, opt-in source, date, time, disclosure language, campaign or listing context, opt-out requests, revocations of consent, and suppression actions for each contact to the extent required by applicable law or reasonably necessary to defend claims. Upon Listinghost's reasonable request, you will promptly provide copies of consent, opt-in, opt-out, and suppression records sufficient for Listinghost to investigate compliance, respond to carrier or regulator inquiries, or defend any claim arising from communications sent or initiated through the Services. Listinghost may suspend Messaging Features if you fail to provide such records within a reasonable time after request.
7.5 Revocation and Opt-Outs
You are solely responsible for honoring revocations of consent, opt-outs, do-not-contact requests, and suppression requests in a lawful and timely manner. You will not use the Services to message any person after consent has been revoked or where further communications would violate applicable law.
7.6 No Unlawful, Deceptive, or Discriminatory Messaging
You will not use the Services to send spam, unlawful solicitations, deceptive or misleading communications, discriminatory housing-related communications, or messages that violate consumer-protection, telemarketing, privacy, fair housing, licensing, or advertising laws.
7.7 Technology Provider Role
To the maximum extent permitted by law, and except to the extent Listinghost independently determines the content, audience, timing, or purpose of a communication, Listinghost acts as a technology service provider that enables Customer-directed communications. You acknowledge that you, not Listinghost, decide whether to send a communication and whether you have a lawful basis to do so.
7.8 Lead and Conversation Data
As between the parties, you retain ownership of leads and conversation records generated through your use of the Services, subject to Listinghost's rights under these Terms to host, process, retain, secure, and use such data to provide the Services, comply with law, enforce these Terms, and generate de-identified and aggregated analytics.
7.9 Third-Party Messaging Providers
Messaging Features may depend on third-party carriers, aggregators, telecommunications providers, number providers, or other vendors. Listinghost is not responsible for carrier delivery, filtering, blocking, outages, delays, content restrictions, fees, policy changes, or the acts or omissions of third-party providers.
8. Privacy, Security, Retention, and Data Practices
8.1 Privacy Policy
Listinghost's collection, use, and disclosure of personal information is described in the Privacy Policy, which is incorporated into these Terms by reference.
8.2 Security Measures
Listinghost will maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Content from unauthorized access, use, alteration, or disclosure.
8.3 De-Identified and Aggregated Data
Listinghost may collect, create, use, disclose, and retain de-identified, anonymized, and aggregated data derived from the use of the Services for analytics, security, fraud prevention, product development, service improvement, and benchmarking, provided such data does not identify you or any individual.
8.4 Retention, Deletion, Export, and Backups
Listinghost may retain and delete Customer Content in accordance with its standard retention practices, account settings, product configuration, legal obligations, and internal policies. You are solely responsible for exporting Customer Content, lead data, and conversation records before termination or expiration and for maintaining your own backups and archival copies. Listinghost will have no liability for deletion of Customer Content after expiration or termination, after a lawful retention period, or after you have had a reasonable opportunity to export such data.
9. Third-Party Services and Integrations
9.1 Third-Party Services
The Services may interoperate with third-party services, including CRM systems, MLS systems, websites, payment processors, cloud providers, mapping tools, messaging vendors, marketing tools, analytics tools, and other integrations ("Third-Party Services").
9.2 No Responsibility for Third-Party Services
Listinghost does not control and is not responsible for Third-Party Services, including their availability, uptime, content, accuracy, security, policies, fees, data practices, functionality, or legal compliance. Your use of any Third-Party Service is at your own risk and subject to that provider's terms and policies.
9.3 Integration Changes
Listinghost may add, modify, limit, or discontinue integrations at any time, including due to changes made by third-party providers.
10. Confidentiality
10.1 Definition
"Confidential Information" means non-public information disclosed by one party (the "Discloser") to the other (the "Recipient") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
10.2 Obligations
The Recipient will use the Discloser's Confidential Information only as necessary to perform its obligations or exercise its rights under these Terms and will protect it using at least reasonable care.
10.3 Exclusions
Confidential Information does not include information that the Recipient can demonstrate:
(a) is or becomes public without breach of these Terms;
(b) was lawfully known to the Recipient without confidentiality obligation before disclosure;
(c) is lawfully received from a third party without confidentiality obligation; or
(d) is independently developed without use of or reference to the Discloser's Confidential Information.
10.4 Required Disclosures
A Recipient may disclose Confidential Information to the extent required by law, subpoena, court order, governmental request, or regulatory obligation, provided the Recipient gives prompt notice where legally permitted.
11. Intellectual Property and Feedback
11.1 Listinghost IP
Listinghost and its licensors own all right, title, and interest in and to the Services, including all software, source code, object code, interfaces, workflows, designs, text, graphics, trademarks, service marks, logos, documentation, models, and improvements, and all related intellectual property rights.
11.2 Feedback
If you provide ideas, suggestions, enhancement requests, recommendations, corrections, or other feedback regarding the Services, Listinghost may use and exploit that feedback without restriction or obligation.
12. Monitoring, Enforcement, and Acceptable Use Administration
12.1 No Duty to Monitor
Listinghost has no obligation to monitor Customer Content or your use of the Services.
12.2 Reserved Rights
Listinghost may investigate, review, remove, disable access to, preserve, or disclose Customer Content if Listinghost reasonably believes doing so is necessary to enforce these Terms, comply with law or legal process, respond to security threats, prevent harm, or protect Listinghost, the Services, or third parties.
13. Representations, Warranties, and Disclaimers
13.1 Mutual Authority
Each party represents that it has the legal power and authority to enter into these Terms.
13.2 Customer Warranties
You represent and warrant that:
(a) you have all rights, permissions, consents, and authority needed for Customer Content and your use of the Services;
(b) your Customer Content and use of the Services will comply with applicable law and these Terms;
(c) you will not use the Services in a deceptive, discriminatory, unlawful, or infringing manner; and
(d) where required by law, you will obtain and maintain legally sufficient consent before making or causing calls or text messages to be sent using the Services.
13.3 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTINGHOST DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
LISTINGHOST DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES, OR THAT ANY MESSAGE, LEAD, COMMUNICATION, OUTPUT, OR INTEGRATION WILL BE ACCURATE, COMPLETE, DELIVERED, TIMELY, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
14. Indemnification
14.1 Customer Indemnification
You will defend, indemnify, and hold harmless Listinghost and its affiliates, officers, directors, managers, members, employees, contractors, agents, successors, and assigns from and against any third-party claims, demands, actions, proceedings, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) your Customer Content;
(b) your use of the Services;
(c) your communications with leads, prospects, buyers, sellers, or other third parties;
(d) your violation of these Terms;
(e) your violation of any law, rule, regulation, MLS requirement, privacy obligation, telemarketing requirement, fair housing obligation, or advertising standard; or
(f) any allegation that Customer Content or your use of the Services infringes, misappropriates, or violates a third party's rights.
14.2 Messaging and Communications Indemnity
In addition to your other indemnification obligations, you will defend, indemnify, and hold harmless Listinghost and its affiliates, officers, directors, managers, members, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) any call, text, or other communication sent, initiated, caused to be sent, or authorized by you through the Services;
(b) any alleged failure by you to obtain or document legally sufficient consent;
(c) any alleged failure by you to honor an opt-out, revocation, or do-not-contact request;
(d) your violation of any law governing marketing, telemarketing, calling, texting, advertising, privacy, consumer protection, or real estate communications; or
(e) your use, distribution, or transmission of Output or AI-assisted content to any third party without adequate review, approval, or modification as appropriate for the communication and context.
The indemnification obligations in this Section 14.2 are not subject to any limitation of liability or damages cap.
14.3 Procedure
Listinghost will provide prompt notice of any indemnifiable claim, provided that failure to give prompt notice will not relieve you of your obligations except to the extent materially prejudiced. Listinghost may participate in the defense through counsel of its choice at its own expense. You may not settle any claim in a manner that admits fault by Listinghost or imposes non-monetary obligations on Listinghost without Listinghost's prior written consent.
15. Limitation of Liability
15.1 Excluded Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LISTINGHOST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOSS OF USE, OR LOSS, CORRUPTION, OR RECOVERY OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTINGHOST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU TO LISTINGHOST UNDER THESE TERMS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15.3 Exclusions from the Cap
The limitations in Sections 15.1 and 15.2 do not limit or exclude:
(a) your payment obligations;
(b) your indemnification obligations under Section 14;
(c) your breach of Section 4.2 (Restrictions);
(d) your breach of Section 10 (Confidentiality);
(e) your violation of Section 7 (Messaging, Leads, and Communications Compliance);
(f) either party's fraud, fraudulent misrepresentation, or willful misconduct; or
(g) either party's infringement or misappropriation of the other party's intellectual property rights.
16. Term, Suspension, and Termination
16.1 Term
These Terms begin when you first accept them or first access or use the Services and continue until terminated.
16.2 Subscription Term
Each paid subscription continues for the term stated in the applicable Order Form and any renewal term unless terminated in accordance with these Terms.
16.3 Suspension
Listinghost may suspend or limit access to some or all of the Services immediately if Listinghost reasonably believes:
(a) you have violated these Terms;
(b) your use poses a security risk or may harm the Services or third parties;
(c) your use may create liability for Listinghost or others;
(d) suspension is required by law, a court order, a government request, or a third-party provider; or
(e) amounts owed by you are overdue.
16.4 Termination by You
You may stop using the Services at any time. If you are on a paid subscription, termination or cancellation will be effective at the end of the then-current term unless otherwise stated in the applicable Order Form or required by law.
16.5 Termination by Listinghost
Listinghost may terminate these Terms or your access to the Services for material breach, nonpayment, unlawful conduct, repeated misuse, or if continuing to provide the Services would expose Listinghost to legal or operational risk.
16.6 Effect of Termination; Survival
Upon expiration or termination, all rights granted to you under these Terms will immediately terminate, except that Listinghost may, in its discretion, permit a limited period for export of Customer Content. The following Sections survive any expiration or termination of these Terms: 3, 4.2, 5, 6, 7, 8.3, 8.4, 9, 10, 11, 12, 13, 14, 15, 16.6, 17, 18, 19, and 20.
17. Dispute Resolution; Arbitration; Class Action Waiver
17.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.
17.2 Informal Dispute Resolution
Before filing any claim, the parties will first attempt in good faith to resolve the dispute informally. A party initiating a dispute must send written notice describing the nature of the dispute, the factual basis, and the requested relief. The parties will then attempt in good faith to resolve the matter for thirty (30) days after receipt of the notice.
17.3 Binding Arbitration
Except as provided in Section 17.6, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Harris County, Texas, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Unless the parties agree otherwise or the arbitrator orders otherwise in the final award, the party initiating arbitration must pay any applicable filing fee, the AAA administrative fees and arbitrator compensation will initially be shared equally by the parties, and each party will bear its own attorneys' fees and costs.
17.4 Waiver of Jury Trial
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY, VOLUNTARILY, AND IRREVOCABLY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
17.5 Class and Representative Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY AGREES THAT ANY DISPUTE WILL BE BROUGHT ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS REPRESENTATIVE, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN ANY CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE PROCEEDING.
17.6 Exceptions; Equitable Relief
Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive relief or other equitable relief in a court of competent jurisdiction for actual or threatened misuse of intellectual property, Confidential Information, Customer Content, account credentials, or data. Each party acknowledges that monetary damages may be inadequate for such harm. To the maximum extent permitted by law, each party waives any requirement to post bond or similar security.
17.7 Contractual Limitations Period
To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within two (2) years after the claim first accrued, and not later.
18. Export Controls and Sanctions
You will not use, export, re-export, transfer, or otherwise make available the Services in violation of any applicable export-control, sanctions, or trade laws and regulations.
19. Government Entities
If you are a governmental entity, then any provision regarding indemnification, automatic renewal, venue, governing law, limitation of liability, confidentiality, arbitration, or class action waiver applies only to the extent not prohibited by applicable law. Any conflicting mandatory law controls.
20. General
20.1 Entire Agreement
These Terms, together with any applicable Order Form, Privacy Policy, SMS terms, and any incorporated policies, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous communications relating to the Services.
20.2 Order of Precedence
If there is a conflict between these Terms and an Order Form signed or accepted by both parties, the Order Form controls solely for the subject matter it addresses.
20.3 Assignment
You may not assign or transfer these Terms without Listinghost's prior written consent, except in connection with a merger, acquisition, or sale of substantially all of your assets. Listinghost may assign these Terms without restriction.
20.4 No Waiver
No waiver of any breach or default is a waiver of any subsequent breach or default.
20.5 Severability
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
20.6 Independent Contractors
The parties are independent contractors. These Terms do not create any partnership, franchise, joint venture, fiduciary, agency, or employment relationship.
20.7 Force Majeure
Listinghost is not liable for delay or failure to perform due to causes beyond its reasonable control, including failures of internet service, telecommunications, hosting providers, cloud services, carriers, labor disputes, natural disasters, war, terrorism, civil disturbance, governmental action, epidemics, pandemics, or power failures. A force majeure event does not relieve you of payment obligations accrued before, during, or after the event.

Notices to you may be sent to the email address associated with your account and are deemed given when sent.
20.9 Changes to These Terms
Listinghost may update these Terms from time to time. If Listinghost makes a material change, Listinghost will provide notice by posting the updated Terms, emailing the account owner, providing in-product notice, or by other reasonable means. The updated Terms become effective on the stated effective date. Your continued use of the Services after that effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Services before the effective date of the updated Terms.
